GAP has experience and expertise in this area, and as business in Indonesia becomes more transparent and ruled by the principles of good governance there will most likely be a new wave of mergers & acquisitions. We provide full assistance for clients in their M&A transactions, including structuring and documenting the transactions. Our team has extensive experience in legal due diligence, preparing and negotiating sale and purchase agreements, shareholders’ agreements, merger agreements and other related documents. The team is also aware of the evolving regulatory and business environment in various industries.

Our team assisted PT Bank Windu Kentjana Tbk (now known as PT Bank China Construction Bank Indonesia Tbk) in the acquisition of PT Bank Antardaerah. We also assisted PT Bank Windu Kentjana Tbk in its rights issue which resulted in China Construction Bank becoming the new controller of the bank. Later, PT Bank Windu Kentjana Tbk merged with PT Bank Antardaerah, and PT Bank Windu Kentjana Tbk, as the surviving bank, changed its name to PT Bank China Construction Bank Indonesia Tbk.

At the end of 2020, we were involved in the integration of Bangkok Bank Public Company Limited, Indonesia branch into PT Bank Permata Tbk. We represented PT Bank Permata Tbk in the issuance of the Additional Tier-1 Subordinated Notes to Bangkok Bank Public Company Limited in the amount of US$700 million and the receipt of an advance capital payment from Bangkok Bank Public Company Limited in the amount of approximately IDR10.8 trillion. We also assisted PT Bank Permata Tbk in preparing several commercial agreements to be entered into with Bangkok Bank Public Company Limited and its affiliates as part of the implementation of the integration.
